1. Agreement and Eligibility

These Terms and Conditions ("Terms") govern your access to and use of https://luma.audio, Luma Audio software products, downloads, trials, accounts, activations, emails, support, and related services provided by MusicDevs Inc, doing business as Luma Audio ("Luma Audio", "we", "us", or "our").

By using the site, creating an account, downloading a trial, activating software, purchasing a product, or otherwise using our services, you agree to these Terms. If you do not agree, do not use the site or services.

You must be at least 14 years old to use the site or services. If you are under the age of majority where you live, you may use the site, download a trial, activate software, or purchase products only with involvement and permission from a parent or legal guardian.


2. Products, Trials, and Accounts

Luma Audio may offer software products and related services, including audio plugins, installers, license keys, activation entitlements, samples, presets, sound libraries, documentation, updates, downloads, educational materials, and related creative assets.

Product descriptions, formats, compatibility details, license types, prices, availability, and promotions may change at any time. We try to describe products accurately, but we do not guarantee that every description, screenshot, audio demo, or compatibility note is complete, current, or error-free.

We may offer free trials. Trial length, included features, restrictions, and expiration rules are shown on the download page, product page, account page, or in the software. Trial licenses are for evaluation only. When a trial expires, you must purchase a valid license to continue using the software unless a product page says otherwise.

You may need an account to access purchases, downloads, licenses, or support. You agree to provide accurate account information, keep your login credentials secure, and notify us promptly if you believe your account has been compromised. You are responsible for activity under your account unless the activity results from our failure to use reasonable security measures.


3. Orders, Payments, and Moonbase Checkout

Final prices, taxes, fees, and currency treatment are shown at checkout before purchase. You authorize us, Moonbase.sh, Moonbase AS, and applicable payment processors to charge the payment method you provide for the amounts shown at checkout.

Purchases are processed through Moonbase.sh, operated by Moonbase AS. Moonbase acts as merchant of record for Moonbase checkout transactions and may handle checkout, payment processing, tax calculation and collection, product fulfillment, license access, order communications, fraud prevention, and refund processing. Moonbase's buyer terms, checkout terms, privacy policy, and payment-provider rules may apply in addition to these Terms and any Luma Audio product license.

You are responsible for bank fees, payment provider fees, currency conversion fees, and other charges outside our control. Taxes handled by Moonbase, the merchant of record, or a payment provider will be calculated, collected, and remitted according to their checkout rules and applicable law.


4. Delivery, Activation, and Device Limits

Software products may be delivered by account access, download link, email, installer, license key, activation entitlement, third-party platform, or another method stated at checkout.

Unless a product page or separate license says otherwise, one purchased Luma license allows activation on up to three devices at the same time.

Luma requires an internet connection for installation and activation. Once activated, Luma may be used offline, but the software may need to validate its license online periodically. Luma's current license validation period is once every 14 days, and validation may happen automatically.

If you need sustained offline use, use the offline activation option where available. Offline activation may require a unique license file from your account page and remains subject to the same license terms, activation limits, and anti-abuse rules as online activation.

If we permanently retire the activation or license validation infrastructure for a purchased version of Luma, we will make reasonable efforts to provide a practical fallback for existing customers, such as an offline license file, a final build that no longer requires online validation, replacement access, or another commercially reasonable method for continued use, subject to fraud prevention, security, platform, and legal limits.

If you reach your activation limit because of a new computer, operating system reinstall, repair, replacement, or similar reason, contact support at hello@lumaplugin.com.

If you are a consumer in the European Economic Area or the United Kingdom, downloadable software, license keys, activation entitlements, installers, samples, presets, sound libraries, updates, and other digital content may be made available immediately after purchase only where permitted by applicable law. Where required, checkout or delivery flows may ask you to expressly consent to immediate delivery and acknowledge that you will lose any statutory withdrawal right once delivery begins.


5. Software and Content License

Unless a product page or separate license says otherwise, after full payment you receive a worldwide, non-exclusive, non-transferable license to install and use the purchased software product and its included samples, presets, sound libraries, and related content for your own music production, musical compositions, recordings, audiovisual works, performances, and other creative works.

You own your original musical works, recordings, performances, mixes, masters, and other creative works you create using Luma, subject to our ownership of the software and included content.

You may generally:

  • Install and use the software in a compatible DAW, plugin host, operating system, or production environment.

  • Use the included samples, presets, generated sounds, and related materials in your own released or unreleased music.

  • Modify, edit, process, chop, layer, or combine included sounds or materials as part of a new creative work.

  • Monetize, release, sell, stream, sync, broadcast, publicly perform, distribute, register, publish, license, and otherwise exploit finished musical works that use Luma without owing royalties, fees, attribution, or revenue share to Luma Audio.

  • Deliver stems, session files, project files, mixes, masters, or other production materials to normal music-production partners, as long as you are not redistributing Luma itself or isolated Luma factory content as a standalone product.

  • Create, export, back up, share, or sell your own presets, preset banks, sample packs, sound libraries, construction kits, loop kits, and similar creative products that use Luma content, provided the Luma content has been modified, edited, processed, layered, or combined into new sounds or materials and you are not redistributing isolated or unmodified Luma factory content, installers, license files, activation credentials, or other protected product files.

Unless expressly permitted in writing or in product-specific terms, you may not:

  • Resell, redistribute, sublicense, share, upload, publish, transfer, or give away the product, software, installers, license keys, activation credentials, download files, source files, factory samples, factory presets, or included content as standalone files.

  • Include the product, software, installers, license keys, activation credentials, source files, or isolated or unmodified factory samples, factory presets, or included content in another plugin, sample pack, sound library, preset library, construction kit, loop kit, dataset, marketplace listing, or competing product.

  • Make the product available through file-sharing services, public folders, Discord servers, social media groups, torrents, cloud links, or similar channels.

  • Claim ownership of the original software, source sounds, presets, samples, or materials supplied by Luma Audio.

  • Use the product, or any substantially similar extracted content, to train, fine-tune, evaluate, or build machine learning or generative AI models unless we expressly permit that use in writing.


If a product is labeled as exclusive, non-exclusive, royalty-free, limited, custom, beta, trial, demo, or subject to another license type, the applicable product-specific license controls.


6. Intellectual Property and User Content

The site, brand, product names, artwork, audio previews, software, source code, object code, installers, license systems, samples, presets, product files, text, graphics, logos, interfaces, and other content are owned by MusicDevs Inc, our licensors, or our partners and are protected by intellectual property and other laws. Except for the limited license granted above, no rights are transferred to you.

If you send us feedback, reviews, testimonials, audio, project files, bug reports, feature requests, or other materials ("User Content"), you represent that you have the rights needed to provide it. You grant us a non-exclusive, worldwide, royalty-free license to use User Content as needed to provide support, operate and improve the services, respond to your request, enforce these Terms, and protect our rights. We will not use your private support files in public marketing materials without your permission.

If you submit public reviews, testimonials, comments, or social posts that tag or mention Luma Audio, you allow us to display, repost, quote, or reference them for marketing and promotional purposes, unless you tell us not to. Testimonials and endorsements reflect individual experiences and do not guarantee similar creative, commercial, technical, or professional results.


7. Prohibited Conduct

You agree not to violate laws or third-party rights, misuse the site or products, interfere with security or delivery systems, scrape or overload the services, use stolen payment methods, share accounts or license keys, remove rights notices, bypass activation, or otherwise use Luma Audio in a way that violates these Terms or product-specific license restrictions.

8. Refunds and Third-Party Services

Refunds are governed by our Refund Policy, which is incorporated into these Terms. Some product pages, checkout pages, bundles, promotions, or custom orders may include different refund terms.

The site may rely on or link to third-party services, including Moonbase, payment processors, ecommerce platforms, hosting providers, analytics providers, advertising platforms, email providers, social networks, and marketplaces. We are not responsible for third-party services, websites, products, policies, content, outages, errors, security practices, or payment processing decisions.


9. Disclaimers, Liability, and Consumer Rights

The site, services, and products are provided "as is" and "as available" to the fullest extent permitted by law. We do not guarantee that the site or downloads will be uninterrupted, secure, or error-free; that every product will work with every DAW, plugin, operating system, hardware setup, or workflow; that demos or marketing examples will match your results; or that products will lead to placements, revenue, audience growth, career opportunities, or other outcomes.

To the fullest extent permitted by law, MusicDevs Inc and its owners, directors, officers, employees, contractors, licensors, service providers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost opportunities, business interruption, or reputational harm.

To the fullest extent permitted by law, our total liability for any claim related to the site, services, or products will not exceed the amount you paid to Luma Audio for the product or service giving rise to the claim during the 3 months before the claim arose.

Nothing in these Terms limits legal warranties, refund rights, cancellation rights, chargeback rights, or other non-waivable consumer protection rights that apply to you. Some jurisdictions do not allow certain disclaimers or limits of liability, so some of this section may not apply to you.


10. Indemnity, Suspension, and Termination

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless MusicDevs Inc and its owners, directors, officers, employees, contractors, licensors, service providers, and partners from claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or related to your misuse of the site or products, violation of these Terms, violation of product licenses, infringement of rights, unlawful conduct, or User Content.

We may suspend or terminate your account, access to products, downloads, license keys, or services if we reasonably believe you violated these Terms, violated a product license, created legal or security risk, engaged in fraud or abuse, or misused Luma Audio. Sections that by their nature should survive termination will continue to apply.


11. Governing Law and Disputes

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec, without regard to conflict of law rules.

You and MusicDevs Inc agree that disputes will be brought in the courts of Quebec, Canada, unless applicable law requires otherwise. Before filing a claim, you agree to contact us at hello@lumaplugin.com and try to resolve the issue informally. This informal process does not limit urgent legal remedies or rights that cannot be waived by law.


12. Changes and Contact

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. If changes are material, we may provide additional notice where required. Your continued use of the site or services after updated Terms are posted means you accept the updated Terms.
